Basket Point of Sale ("we", "our", or "us") is a service of retailMetrix Inc., a Delaware corporation. This End User License Agreement applies to the Basket software and services described below ("the Software").

By creating an account, installing the Software, or using any part of it, you agree to this Agreement. If you accept for a company, you confirm that you have authority to bind that company.

The Software

The Software is the Basket ecosystem we make available to your business, including:

  • Point of Sale on your registers and related devices
  • Back Office for items, pricing, receiving, discounts, users, and store settings
  • Analytics and Reporting
  • Customer engagement, including loyalty, rewards, and campaigns you configure
  • Ecommerce and storefronts you publish
  • Integrations you turn on, including QuickBooks Online
  • Device tools, APIs, and data feeds we provide with the service
  • Documentation, updates, and support for the above

Features depend on your plan and on what you enable.

License

We grant you a limited, non-exclusive, non-transferable license to use the Software during your subscription for your own retail operations.

Your employees and contractors may use the Software under your account. Your shoppers may use the customer-facing parts you operate, such as a storefront or rewards experience.

You do not own the Software. We own the Software, including updates and improvements. If you send us suggestions, we may use them to operate and improve Basket.

Accounts

You will keep account information accurate. You are responsible for:

  • Who you allow into your account and what they can do
  • Activity under your account
  • Protecting passwords and devices that access the Software
  • Removing access when someone should no longer have it

Administrator access can connect integrations, export data, manage users, and change store settings. You are responsible for those actions. If you believe an account was used without permission, contact us at help@basketpointofsale.com.

Your Data

You own the business data you submit to the Software and the data the Software stores for your stores, devices, storefronts, and connected services. This includes your catalog, transactions, customers, invoices, and settings.

You give us permission to host, process, and display that data to provide the Software, keep it secure, and meet legal duties. Our Privacy Policy explains how we handle personal information.

You are responsible for the accuracy of your data and for having the rights and notices needed to provide it, including information about your staff and shoppers.

During your subscription, or within 30 days after it ends, you may ask us to export your data in a format we make available. We may retain copies where the law, security, or billing requires it. After that period, we may delete your data in the ordinary course of operating the service.

Acceptable Use

You will use the Software for lawful business purposes. You will:

  • Use customer-facing features for your own shoppers and stores
  • Keep your prices, taxes, age rules, and product information accurate
  • Send email and SMS only with the consent and opt-out choices the law requires
  • Use data from a connected service only for your own business in that service

You will not copy or resell the Software, bypass security or account limits, interfere with the service, upload malware, or use another customer's data.

We may suspend access when we reasonably believe use of an account creates a security risk, harms other customers, or breaks the law. We will restore access when the issue is resolved, unless this Agreement has ended.

Integrations and QuickBooks

The Software can connect to services we do not operate, including accounting, payments, messaging, and wallet platforms. Those services have their own terms. You are responsible for your accounts with them.

If you connect QuickBooks Online, you authorize Basket to access the QuickBooks company you select so we can perform the features you enable. Those features may include reading items and tax settings, exporting invoices, recording payments, and exporting journal entries.

  • We store the connection so the integration can keep working
  • We do not sell QuickBooks data
  • A QuickBooks error leaves the Basket sale or invoice in place. You can retry the export from Basket
  • You can disconnect at any time from the Integrations page in Back Office. Disconnect stops new sync and revokes Basket's connection to that QuickBooks company. Records already in QuickBooks stay there until you change them in QuickBooks

Review exported accounting entries before you rely on them for your books or tax filings.

Your Stores, Loyalty, and Devices

You are the seller and the operator of your stores, storefronts, prices, promotions, gift cards, and loyalty program. Basket provides the tools.

If you enroll registers with Basket device tools, you authorize us to apply the settings, restrictions, and updates you enable on those devices. You are responsible for the hardware and the network.

Fees

Fees and plan limits are in your order or subscription with us. Fees are non-refundable except where your order or the law requires a refund. If payment is past due, we may suspend the Software after notice. You are responsible for your own sales, use, and income taxes.

Updates

We may update the Software to maintain security, fix problems, and improve features. Some updates need to be applied on a register before they take effect. Preview and sandbox features may change or stop.

Disclaimers

The Software helps you run your business. You decide prices, taxes, tenders, inventory, age checks, and what you send to customers or post to accounting.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT ALLOWED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT TOTALS, TAXES, SCALES, AGE CHECKS, OR THIRD-PARTY SYNCS WILL BE ACCURATE OR COMPLETE.

Limitation of Liability

TO THE MAXIMUM EXTENT ALLOWED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA.

EACH PARTY'S TOTAL LIABILITY ARISING OUT OF THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID TO US FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM.

These limits do not apply to fraud, willful misconduct, or your duty to pay fees, or where the law does not allow a limit.

You will cover Basket against third-party claims arising from your data, your products and pricing, your messages, your use of a connected service, or your breach of this Agreement. We will cover you against a third-party claim that the Software, used as this Agreement allows, infringes that party's U.S. patent, copyright, or trademark. We may change the Software, obtain the right for you to keep using it, or end the affected feature and refund prepaid unused fees for that feature.

Term and Ending Use

This Agreement starts when you first accept it and continues until you stop using the Software and your subscription ends.

You may stop using the Software and disconnect integrations at any time. Fees for the current term remain due unless your order says otherwise.

We may end this Agreement if you materially break it and do not fix the problem within 30 days after we notify you. We may end or suspend it immediately for nonpayment, a serious security risk, or when continued service would be illegal.

When this Agreement ends, your license ends. Sections that should continue after ending will continue, including data, disclaimers, liability, and unpaid fees.

Changes to This Agreement

We may update this Agreement. Updates will be posted on this page with a revised date. If a change is material, we will give notice by email or in the product. Continued use after the effective date is acceptance of the updated Agreement.

Governing Law

This Agreement is governed by the laws of the State of Oregon, USA. State and federal courts located in Oregon have exclusive jurisdiction, except that either party may seek injunctive relief for misuse of intellectual property or confidential information.
